Overview
ThermoVault™ is a patented Thermal Energy Storage Foundation (TESF) system that integrates hydronic heating, thermal storage, and AI-powered optimization. How Contractors Earn Revenue

Patent Licensing Agreement For ThermoVault Foundations
This Patent Licensing Agreement (“Agreement”) is entered into on this ___ day of ________, 20 (“Effective Date”) by and between:

The parties agree as follows:
1. Grant of License
-
Licensor grants to Licensee a non-exclusive to use the patented technology described in APPARATUS AND METHOD FOR SOLAR HEAT COLLECTION #: US 2021/0018184 A1 and all Continuous in part (CIP) submittals.

[Patent Number] (the “Licensed Patent”), for the purpose of designing, building, and operating thermal energy storage foundations.

This license is limited to the geographic area of the United States And to the field of use of thermal storage and controls.
2. License Fees and Royalties

Per-Building License Fee: Licensee shall pay Licensor a non-refundable license fee each Building unit constructed using the Licensed Patent. Royalties: Licensee agrees to pay Licensor a royalty of 20% of the gross revenue derived from each building incorporating the Licensed Patent.

Audit Rights: Licensor may audit Licensee’s records, with reasonable notice, to ensure compliance with royalty obligations. Licensee shall bear the cost of the audit if underreporting. .
3. Reporting and Record Keeping

Licensee shall keep accurate records of all sales and uses of products covered by the Licensed Patent.

Licensee shall submit quarterly reports to Licensor detailing the use of the single use license. . Reports are due within 30 days of each calendar quarter end.
4. Use of Technology and Compliance

Permitted Uses: Licensee shall use the Licensed Patent only for the agreed-upon purpose and field of use and may not sublicense the technology without Licensor’s prior written consent.

Tax Credits and Incentives: Licensee may pursue any available tax credits, grants, or incentives for energy-efficient or renewable technology, but all rights to any carbon credits or similar environmental incentives associated with the Licensed Patent are retained by Licensor.

Carbon Credit Retention: Any carbon credits, greenhouse gas (GHG) reduction credits, or similar environmental incentives generated as a result of implementing or using the Licensed Patent shall remain the exclusive property of the Licensor, unless otherwise agreed in writing.
4. Use of Technology and Compliance

Permitted Uses: Licensee shall use the Licensed Patent only for the agreed-upon purpose and field of use and may not sublicense the technology without Licensor’s prior written consent.

Adherence to Specifications for Tax Credit Eligibility: To enhance eligibility for potential tax credits and incentives related to energy efficiency, Licensee is encouraged to adhere to the specifications, materials, and design parameters outlined in the ThermaBase Foundation system as provided by Licensor.

Consultation with Tax Advisor: Licensee is advised to consult with a tax professional or advisor to confirm eligibility for any tax credits, incentives, or benefits. Licensor makes no guarantees regarding the Licensee's qualification for tax credits or other incentives.

Tax Credits and Incentives: Licensee may pursue available tax credits, grants, or incentives for energy-efficient or renewable technology, but all rights to any carbon credits or similar environmental incentives associated with the Licensed Patent are retained by Licensor.
4. Use of Technology and Compliance

Any significant deviations from these specifications must be approved in writing by Licensor.

Modification and Functional Equivalence: Any use of the ThermaBase Foundation system that employs modifications achieving substantially the same functional outcome as the Licensed Patent will require a license, even if minor alterations or substitutions are made to individual components. Licensee agrees that any attempt to avoid licensing requirements through superficial changes that do not fundamentally alter the system’s function, method, or results will be considered a violation of -this Agreement.

Single use license: For each building residential unit under this Agreement, Licensor will issue a Single use license, verifying that the building has been authorized under the license of the ThermaBase Foundation system. Licensee may use this single use license as part of their records for tax credit applications or other regulatory requirements.

Consultation with Tax Advisor: Licensee is advised to consult with a tax professional or advisor to confirm eligibility for any tax credits, incentives, or benefits. Licensor makes no guarantees regarding the Licensee's qualification for tax credits or other incentives.

Tax Credits and Incentives: Licensee may pursue available tax credits, grants, or incentives for energy-efficient or renewable technology, but all rights to any carbon credits or similar environmental incentives associated with the Licensed Patent are retained by Licensor.
5. Intellectual Property Ownership

Ownership: Licensor retains all ownership rights to the Licensed Patent and any improvements or modifications to the technology.

Protection of IP Rights: Licensee agrees not to challenge, contest, or impair the Licensor’s ownership of the Licensed Patent. Licensee shall notify Licensor of any known or suspected infringement of the Licensed Patent by third parties.
6. Confidentiality

Both parties agree to keep confidential all proprietary information shared under this Agreement, except as required by law or necessary for Licensee to use the Licensed Patent.
7. Term and Termination

Term: This Agreement shall remain in effect until the expiration of the Licensed Patent, unless terminated earlier as provided herein.

Termination for Breach: Either party may terminate this Agreement upon 30 days' written notice if the other party materially breaches any term of this Agreement and fails to cure such breach within the notice period.

Effect of Termination: Upon termination, Licensee shall immediately cease all use of the Licensed Patent and destroy or return all confidential information received from Licensor.
8. Indemnification

Licensee agrees to indemnify, defend, and hold Licensor harmless from any claims, damages, or liabilities arising out of Licensee’s use of the Licensed Patent, including but not limited to any third-party claims related to tax incentives.
9. Dispute Resolution

In the event of any dispute arising from this Agreement, the parties agree to first attempt to resolve the matter through mediation.
10. Miscellaneous Provisions
-
Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning the Licensed Patent and supersedes all prior agreements or representations.

Amendments: Any modification or amendment must be in writing and signed by both parties.

Governing Law: This Agreement shall be governed by the laws of the State of North Dakota.

Severability: If any provision of this Agreement is deemed invalid, the remaining provisions shall continue in effect.
